Regulatory Disclosure

These disclosures apply to the business relationships you enter into with CJ Digital EU B.V. only. It supplements any other agreements, terms and conditions, or documentation you may have with Clear Junction, and should be read in conjunction with relevant risk disclosures and contractual terms. These disclosures may be amended or supplemented by additional disclosures from time to time.

Clear Junction does not act as your agent, fiduciary, or adviser—whether financial, regulatory, tax, or business. You remain solely responsible for evaluating the merits and suitability of any transaction or service you undertake with Clear Junction. Clear Junction acts as a payment and settlement service provider facilitating conversion and transfer of funds.

Clear Junction will be clear, fair and not misleading in its statements to you, but no statement by Clear Junction should be construed as a recommendation or advice. You are expected to evaluate the appropriateness and suitability of any transaction you enter into with Clear Junction based on your own requirements and circumstances.

Conflicts of Interest

Clear Junction has internal policies and procedures designed to manage any potential conflicts of interest between our business activities and our responsibilities to you. Clear Junction, or its affiliates, may have commercial relationships with vendors, exchanges, payment platforms, technology providers, or other counterparties in the digital asset and payments markets. If such relationships pose a conflict of interest, Clear Junction will endeavour to identify, manage, and disclose it in line with applicable requirements.

Clear Junction will review this Policy at least annually, or on an event-driven basis if there are significant changes in our service offerings, the regulatory environment, or relevant market practices. Any revisions will be published in an updated version of this Policy. The updated version will supersede any earlier version and become effective immediately upon posting.

Pricing and Fees

Clear Junction quotes transactions with an all-in price which is inclusive of fees, commission or other charges. This applies to both fiat currency transactions and digital asset conversions.

The factors which Clear Junction considers when forming its price depends on the specific circumstances of the transaction, including but not limited to market conditions, transaction size, and operational costs. Therefore, Clear Junction may provide different quotes to different clients for substantially similar transactions.

Clear Junction is not obliged to disclose the components of its “all-in” price, but Clear Junction staff will be truthful if they agree to disclose such information. You should independently assess the fairness of any price or fee quoted to you. We encourage you to consider market norms, alternative service providers, and your own business needs when making decisions.

Under its digital asset services offering, Clear Junction executes transactions in stablecoins as a non-custodial service provider. You maintain control of your fiat funds, and Clear Junction facilitates the conversion and transfer based on your specific instructions. Clear Junction’s digital asset payout offering is typically structured so that you instruct us to convert a specified amount of fiat currency into a digital asset (e.g. a stablecoin) and then make a direct payout to an external wallet designated by you. Clear Junction does not generally provide custodial services or facilitate ongoing digital asset trading on your behalf.

When you provide Clear Junction with specific instructions for conversion and transfer, including amount and destination details, Clear Junction owes you a duty of best execution, and therefore the services will be provided under the best execution basis.
